Antitrust clearance moves deal forward

• PZU has received Ukrainian antitrust clearance to buy all shares in MetLife Ukraine.
• The deal still requires approval from the National Bank of Ukraine and is targeted to close in Q1 2027.

With this step passed, the transaction can advance to the stage that requires the National Bank of Ukraine to give its consent.

Conditions attached to the approval

The regulator tied its decision to limits on the insurer's future activity. PZU has accepted a non-compete commitment and a bar on recruiting staff away from the company, each running for three years.

Target company and market position

MetLife Ukraine holds the leading place among life insurers in Ukraine, with a market share near 50 percent (Grupa PZU bliżej przejęcia giganta ukraińskiego rynku. Jest zgoda – RMF24). It looks after about 900,000 customers and, according to the company, has capital and liquidity strong enough to support dividend payments.

Company view and timeline

PZU's chief executive, Bogdan Benczak, said the regulator's decision moves the group closer to completing one of the most significant foreign deals in its history. He also said the group sees long-term potential in the Ukrainian market and intends to take an active role in its growth. PZU presents the purchase as part of its plan to build a stronger international insurance and financial business in Central and Eastern Europe and to strengthen its life insurance operations.

The group wants to finish the acquisition as soon as possible and targets the first quarter of 2027 for completion. The conditional agreement was signed in May 2026.
